Terms of Use – Nightclub Paris

1) Agreement to Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you”) and Lightsquad SASU (trading as “Nightclub Paris”, “we”, “us”, or “our”) governing your access to and use of https://nightclubparis.com and any related features (including WhatsApp-based table booking assistance) (collectively, the “Site”).
By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Site.

Age: The Site is intended for users 18+ only.

2) Our Service – Concierge & Intermediary

Nightclub Paris operates a VIP concierge service that assists users with table bookings (and occasional guest lists) in third-party venues (nightclubs, restaurants, bars). We are not the venue and not a reservation module operated by any venue. We act as an introducer/intermediary: recommendations and coordination are provided on a best-effort basis.

No guarantee of entry: Each venue has its own door policy, dress code, minimum spends, capacity, and the right to refuse entry. A booking confirmation or prepayment link does not guarantee entry if venue rules are not respected.
Prices & policies: Prices, minimum spends, table allocations, and cancellation/no-show rules are set by venues, not by Nightclub Paris.
Payments: Some bookings may require deposits or prepayments (often collected via secure links). Unless stated otherwise in writing, deposits are non-refundable if the venue’s policy so provides or in case of no-show/late arrival.
No booking fees to the client: Our concierge service is free for the end client; we may be remunerated by partner venues.

3) User Representations

You represent and warrant that: (a) you are 18+; (b) you will use the Site lawfully; (c) information you provide is accurate and kept up-to-date; (d) you will comply with venue policies communicated to you; (e) you will not use automated means (bots/scrapers) to access the Site.

4) Intellectual Property & Use of Venue Images

Unless otherwise indicated, the Site and its content (text, layout, code, graphics) are our property or licensed to us.
Third-party marks & images: All trademarks, logos, photographs, brand names and other materials relating to venues or third parties remain the property of their respective owners. We do not claim ownership and use them for illustrative/informational purposes (recommendation and inspiration) only.

Image Sourcing & Credits: Images shown on the Site may be sourced from official websites/social accounts of partner venues or freely accessible online resources.
Takedown/credit request: If you are the rights holder of an image and wish to request removal or specific credit, contact contact@nightclubparis.com. We act promptly in good faith.
No copying: You may not copy, redistribute or exploit the Site’s content (including images) for commercial purposes without prior written permission of the respective rights holders.

5) Website Development & External Providers

The Site was technically designed and integrated by an independent contractor, Léo Mérahi (SIRET 92855764400012). This provider is responsible for technical integration and layout. Lightsquad SASU remains responsible for the editorial content and the processing of personal data.

To the maximum extent permitted by law, Nightclub Paris shall not be held liable for technical integration errors or inadvertent IP issues stemming from third-party contributions or implementations. Upon notice, we will cooperate to remedy any issue (e.g., remove an image, correct an integration).

6) Booking, Cancellations & No-Shows

Intermediary role: We facilitate contact and coordination. The contract for services (table, bottle service, guest list) is between you and the venue.
Venue rules prevail: Door policy, dress code, capacity, minimum spend, arrival time windows, and any ID/security checks are determined by the venue.
No-shows & late arrivals: You are responsible for any no-show fees or late-arrival impacts per the venue’s policy.
Event changes: Venues may change line-ups, DJs, table locations, or cancel/postpone events. We are not responsible for such changes beyond forwarding information and assistance.

7) Payments & Refunds

Who charges you: Depending on arrangements, prepayments/deposits may be collected by the venue or by us on their behalf.
Refunds: Refunds (if any) are governed by the venue’s policy or the specific written conditions communicated to you before payment. If no policy is provided, deposits are considered non-refundable once a table is blocked by the venue.
Chargebacks: Unwarranted chargebacks may lead to cancellation of future assistance.

8) Prohibited Activities

You agree not to: (i) use the Site to violate laws; (ii) scrape or harvest data; (iii) circumvent security; (iv) upload malware; (v) impersonate others; (vi) infringe third-party IP; (vii) use the Site to compete or solicit without permission; (viii) harass our staff or venue partners.

9) Third-Party Links & Content

The Site may link to third-party sites or display third-party content (e.g., venue pages, social posts). We do not control and are not responsible for the accuracy, legality, or policies of third-party sites. Your interactions with venues or third parties are at your own risk.

10) Disclaimers

The Site and concierge assistance are provided “as is” and “as available”. We make no warranty as to uninterrupted availability, accuracy of third-party information (e.g., venue schedules/line-ups), or outcomes (entry is never guaranteed). You should verify dress code, arrival time, ID requirements, minimum spends, and special event policies with us or directly with the venue before attending.

11) Limitation of Liability

To the maximum extent permitted by law, Nightclub Paris (Lightsquad SASU), its directors, employees, and agents shall not be liable for indirect, incidental, special, punitive, or consequential damages, loss of profits, data, or goodwill, or for venue decisions (refusal of entry, price changes, event modifications).
In any case, our total liability for any claim shall not exceed the amount you have paid to us, if any, in the 30 days preceding the claim.

12) Indemnification

You agree to indemnify and hold harmless Nightclub Paris against any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your interactions with venues; (c) your infringement of third-party rights (including IP/image rights); (d) misuse of the Site.

13) Privacy & Cookies

Your use of the Site is also governed by our Privacy Policy (GDPR-compliant). Please review it carefully.

14) Changes to the Terms

We may update these Terms at any time. The “Last updated” date will be adjusted accordingly. Continued use of the Site after changes constitutes acceptance.

15) Governing Law & Jurisdiction

These Terms are governed by French law. Any dispute falls under the exclusive jurisdiction of the Courts of Paris (France).
Governing language: English. A French translation may be provided for convenience; in case of conflict, the English version prevails.
